User Agreement

This User Agreement (the “Agreement”) is a legal agreement between you and Medly Labs Inc. (“Medly Labs”) respecting your use of Medly Labs services as described herein. BY CLICKING ON THE APPROPRIATE ACCEPTANCE BUTTON BELOW, OR BY OTHERWISE USING THE SERVICES, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. If you are accepting this Agreement on behalf of a company, employer or other entity, so that such company, employer or other entity and/or its employees and you are to be permitted to use the services and software hereunder, you are representing that you have the authority to bind such company, employer or other entity to this Agreement, and will also comply with this Agreement as an individual.   1. Definition
    1. “Application” means the Medly Labs web-based software application, accessible through supported computers and mobile devices, which acts as a social media tool respecting the sharing of musical works, providing users with the ability to compose musical works, upload musical works for viewing by other users of the Services, post musical works to supported third party social media applications, provide feedback, and comment on posted material.
    2. “Content” means any content uploaded by you and other users through and to the Application.
    3. “Services” has the meaning set forth in Section 2 below.
  2. The Services
    1. Medly Labs will provide users, through the Application, with a social media tool respecting the sharing of musical works, providing users with the ability to compose musical works, upload musical works for viewing by other users of the Services, post musical works to supported third party social media applications, provide feedback, and comment on posted material (the “Services”). The Services are provided subject to the terms and conditions of this Agreement.
    2. Medly Labs may provide you with certain information to allow you to use the Services, such as a user ID and a password or the ability to create a user ID and/or password (the “Access Information”). The Access Information is provided on the understanding that it is personal to you; you will not permit anyone other than you to obtain access to the Services using the Access Information. Medly Labs is not responsible or liable in any way for any use of the Services (authorized or unauthorized) by any party accessing the Services using your Access Information, and you accept all responsibility for such use of the Services and any consequences resulting from such use of the Services.
    3. As Content and information provided through the Services is dependent on users, Medly Labs reserves the right to change, suspend or discontinue Content provided through the Services at any time. Medly Labs may also, acting reasonably, impose limits on the Services and/or terminate or restrict your access to parts or all of the Services without liability. Where feasible, Medly Labs will provide you with advance notice of such changes, limitations or discontinuance; however, you acknowledge that such notice may not be feasible in all circumstances, and that Medly Labs shall have no liability whatsoever for its failure to provide such notice to you.
    4. Use of the Services will contain references to third parties, links to third party websites or documents, and will incorporate information obtained from third parties. All such references, links and information are provided “AS IS”. Third party websites, musical works, images, videos, documents, information, opinions, advice, statements and other material (including those made by other users of the Services) are not under the control of Medly Labs, and Medly Labs is not responsible or in any way liable for their contents, including without limitation their accuracy, reliability, effectiveness, standards compliance, copyright compliance, legality, decency, or any other aspect of their content. Medly Labs does not assess data for its quality, usefulness or otherwise. Under no circumstance will Medly Labs be liable for any loss or damage caused by your reliance on information obtained through the Services. It is solely your responsibility to evaluate the accuracy, completeness or usefulness of any content and data available through the Services.
    5. You acknowledge that, due to the nature of the Services, information or data uploaded to the Services may be hosted on servers residing in jurisdictions other than Canada, over which Medly Labs has no direct control. By using the Services, you acknowledge that your information and data may become, during the period that they are hosted on such servers, subject to the laws of the jurisdiction in which those servers reside and/or to the terms of agreements respecting the hosting of data on such servers. Although Medly Labs has made reasonable efforts to verify that its agreements with such server providers are reasonably protective of its users’ data, you acknowledge that Medly Labs has no liability for any acts or omissions of third parties in relation to such servers and the data stored on them. You therefore hereby release Medly Labs from all liability for any governmental or third party action taken in such jurisdictions with respect to such data (including your information and data) and/or the servers on which such data resides.
  3. Your Use of the Services
    1. You agree that:
      1. You will not permit anyone other than yourself to obtain access to the Services through your Medly Labs account or otherwise using your Access Information, and will only use the Services in accordance with this Agreement and applicable law;
      2. You will ensure that any information that is provided to Medly Labs pursuant to this Agreement is true, accurate, current and complete;
      3. You will be solely responsible for all activities with respect to the Services undertaken by you, including your uploading of any Content;
      4. You represent and warrant that you have the right and the authority to enter into this Agreement and to use the Services, and will use the Services in a lawful manner;
      5. You represent and warrant that you have the right and the authority to enter into this Agreement, to use the Services, and to post or upload any Content to the Application or otherwise provide such Content and data to Medly Labs and the Organization;
      6. You will not interfere with or in any manner compromise any of Medly Labs's security measures;
      7. You will cooperate with Medly Labs and provide information requested by Medly Labs to assist Medly Labs and/or relevant authorities in investigating or determining whether there has been a breach of this Agreement or applicable law.
      Without limiting the foregoing, you agree not to violate any applicable laws, the rights of others, or the operational and security mechanisms of the Services.
    2. As a feature of the Services, Medly Labs offers users the ability to interact with other users, such as by “following” other users, “liking” other users’ musical works, and commenting on musical works. Medly Labs also offers the ability for users to publish their Content created through the Services on certain supported third party social networking sites and/or social media applications, such as YouTube. You acknowledge that by using these features:
      1. you consent to Medly Labs disclosing and publishing your Content in the manner that you have indicated through these features;
      2. you acknowledge and agree that you are solely responsible for any Content you post or otherwise make available on or through the Services, including these features, and that these features are provided “AS IS”, without any warranty or liability whatsoever on the part of Content; and
      3. you acknowledge and agree that Content, including any personal information, posted through the Services onto certain supported third party social networking sites and/or social media applications may, depending on your privacy settings on such third party sites or applications, become public information and/or linked to information personally identifying you, and that Medly Labs shall have no privacy obligations respecting any such Content voluntarily posted by you on such third party sites or applications;
      4. you are solely responsible for complying with the terms and conditions of any third party social networking sites, social media applications, blogs, twitters, tweets and other messaging and update services on which you post Content through the Services and these features, and acknowledge that such information, once posted, is subject to such third party’s data collection and privacy policies, over which Medly Labs has no control, and for which Medly Labs shall in no event be liable.
    3. You are solely responsible for the selection, implementation, installation, maintenance and performance of any and all equipment (such as computers and mobile devices) used for using the Services (except for Medly Labs’s computer systems and networks), including without limitation your internal network infrastructure, if any.
    4. You acknowledge and agree that Medly Labs cannot guarantee data integrity, and that it is solely your responsibility to back up any of your information and data that you use in conjunction with the Services, including any data obtained through the Services from the Organization or other users, or Content or data that you upload to or through the Application.
    5. You acknowledge and agree that Medly Labs will exercise no control over your use of the Services, and that you are solely responsible for complying with the provisions of this Agreement, the guidelines, rules and restrictions set down by any Content owner, and all applicable laws respecting your use of the Services. Notwithstanding the foregoing, Medly Labs reserves the right to review any material stored in files or programs uploaded through the Application, and has the right to edit or remove any material that, in its sole discretion, believes may be unlawful, obscene, abusive, or otherwise objectionable and/or to report such material to the appropriate authorities. Medly Labs reserves the right to revoke service for any abusive conduct or fraudulent use of the Services and to cease the Services, temporarily or permanently, in the event that your use of the Services or the provision of the Services constitutes, in Medly Labs’s reasonable judgment, a threat to Medly Labs’s or any third party’s computer systems, networks, files, materials or other data.
    6. You agree that any suggestions, bug reports or other communications respecting the functionality of the Application or Services that you transmit to Medly Labs by any means (each, a "Submission"), is considered non-confidential and may be disseminated or used by Medly Labs or any third party without compensation or liability to you for any purpose whatsoever. This provision does not apply to personal information that is subject to Medly Labs’s Privacy Policy.
  4. The Application
    1. You shall not in any way:
      1. distribute, assign, license, sublicense, lease, rent, transfer, sell or otherwise provide access to the Application, in whole or in part, to any third party on a temporary or permanent basis;
      2. remove, deface, cover or otherwise obscure any proprietary rights notice or identification on the Application (including without limitation any copyright notice or other notice of intellectual property ownership);
      3. copy any written or electronic materials accompanying any portion of the Application unless specifically authorized in writing to do so by Medly Labs;
      4. use the Application in any way inconsistent with the use parameters for the Services;
      5. attempt to hack the Application or any communication initiated by the Application or to defeat or overcome any encryption and/or other technical protection methods implemented by Medly Labs with respect to the Application and/or data and/or content transmitted, processed or stored by Medly Labs or other users of the Services; or
      6. authorize, permit or otherwise acquiesce in any other party engaging in any of the activities set forth in (a) – (f) above, or attempting to do so.
    2. You hereby represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  5. THIRD PARTY APPLICATION STORES
    1. You are subject to all terms and conditions imposed by the third party application store, such as Apple iTunes or App Store, through which you obtained the Application (the “Third Party App Store”) in relation to your download of the Application and/or use of the Services, as applicable. Such Third Party App Store may impose additional restrictions, or may have additional rights, in relation to your use of the Application, such as removal of the Application from your mobile device; it is solely your responsibility to ensure that you are aware of the terms and conditions imposed by the Third Party App Store from which you downloaded the Software, and to comply with such terms and conditions. To the limited extent that this Agreement is less restrictive than the usage rules or terms and conditions for software downloaded from a Third Party App Store, or is in direct conflict with, the Third Party App Store terms of service or like agreement as they relate to your obligations to the Third Party App Store and Medly Labs, the usage rules of the Third Party App Store shall apply.
    2. Although the Application is made available to you through Third Party App Stores, you acknowledge that this Agreement is concluded solely between you and Medly Labs, and not with the Third Party App Store, and the Third Party App Store shall have no responsibility whatsoever respecting the Services, Application and the Content thereof (including, without limitation, in relation to the sale, distribution or use thereof, the performance or non-performance thereof, the intellectual property rights therein and/or infringement thereof, or in relation to addressing any claims or liability in relation to the foregoing). Nothing herein shall obligate the Third Party App Store to offer you any warranty respecting the Application or Services, and to the extent that any warranty is applicable, the Third Party App Store’s sole obligation will be to refund you the purchase price of the Application upon your notification of a failure covered by warranty to the Third Party App Store.
    3. Each Third Party App Store from whom you have downloaded the Application is a third party beneficiary of this Agreement, and, upon your acceptance of the terms and conditions of this Agreement, such Third Party App Store will have the right (and you will be deemed to have accepted the right) to enforce this Agreement against you as a third party beneficiary thereof.
    4. The Third Party App Store is solely responsible for processing payments for the Application and remitting the appropriate fees to Medly Labs; Medly Labs does not collect any payment information from you or other users in any way. In the event of any dispute respecting fees or payments relating to the Application, your sole recourse is to contact the applicable Third Party App Store, and to handle all aspects of such dispute with the Third Party App Store.
  6. Privacy and Confidentiality
    1. Medly Labs neither requests nor desires you to disclose any personal information to Medly Labs in connection with the Application, Services or Content. However, in the event that a situation arises in which the disclosure of such personal information is necessary, by submitting personal information to Medly Labs pursuant to this Agreement, including without limitation your name, address, and e-mail address, you consent to the collection, processing, transmission and disclosure of such information by Medly Labs for the purposes of Medly Labs’s provision of the Services and Medly Labs’s internal use, and specifically the purposes for which such information has been requested.
    2. Your personal information will be handled in accordance with Medly Labs’s Privacy Policy. Notwithstanding the foregoing, Medly Labs reserves the right at all times to disclose any information as it deems necessary to satisfy any applicable law, regulation, legal process or governmental authority.
  7. Intellectual Property Rights
    1. You acknowledge that the Application is owned by Medly Labs, who retains all right, title and interest therein, and is protected by Canadian, U.S. and international copyright laws. In addition, other intellectual property laws (including patent laws) and treaties may protect the Application and Services. It is therefore your responsibility to fully comply with such laws in using and handling the Services and Application. Nothing herein shall be construed as constituting a sale of the Application or any portion thereof to you.
    2. 7.2. You do not acquire any intellectual property or other proprietary rights under this Agreement, including without limitation any right, title or interest in and to patents, copyrights, trade-marks, industrial designs, confidential information, or trade secrets, whether registered or unregistered, relating to the Application, the Services, or any part thereof. Your only rights to the Application, the Services and any part thereof shall be those rights expressly licensed or granted to you under this Agreement. Any rights not expressly granted under this Agreement are reserved.
  8. Disclaimer of Warranties
    1. THE SERVICES AND APPLICATION ARE PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY OR ACCURACY. MEDLY LABS ASSUMES NO RESPONSIBILITY FOR ANY ERRORS, OMISSIONS OR INACCURACIES WHATSOEVER IN THE CONTENT OR ANY OTHER INFORMATION PROVIDED THROUGH THE SERVICES OR APPLICATION. UNDER NO CIRCUMSTANCES WILL MEDLY LABS BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH USE OF THE SERVICES OR THE APPLICATION. IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS AND USEFULNESS OF ANY INFORMATION PROVIDED, AND USE OF THE SERVICES AND APPLICATION IS SOLELY AT YOUR OWN RISK.
    2. Medly Labs has no special relationship with or fiduciary duty to you, and you acknowledge that Medly Labs has no control over, and no duty to take any action regarding any acts or omissions taken by you or any other user of the Services, including without limitation, your Content accessed through the Services, how you or any other user may interpret or use Content or materials accessed through the Services, or what actions you may take as a result of having been exposed to Content or information obtained through the Services.
  9. Limitation of Liability
    1. The only type of damages that can be recovered against Medly Labs arising from or related to this Agreement including without limitation in relation to the provision of the Services, shall be your direct damages, if any, arising from Medly Labs’s gross negligence or wilful misconduct. In no event shall the aggregate liability of Medly Labs exceed the amount paid by you for the portion of the Services that gave rise to the claim. MEDLY LABS SHALL HAVE NO LIABILITY WHATSOEVER TO YOU OR ANY PARTY CLAIMING BY OR THROUGH YOU FOR THE ACCURACY, TIMELINESS OR CONTINUED AVAILABILITY OF THE SERVICES. Without limiting the foregoing, your only right with respect to any problems or dissatisfaction with the Application is to discontinue the use of such Application.
    2. EXCEPT FOR THE LIMITED DIRECT DAMAGES SPECIFIED ABOVE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDLY LABS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL OR PUNITIVE DAMAGES, FAILURES TO TRANSMIT OR RECEIVE ANY DATA, COMPUTER OR MOBILE DEVICE FAILURE, PROBLEMS, LOSS OR DAMAGE ASSOCIATED WITH ANY USE OF THE APPLICATION OR SERVICES, OR OTHER PECUNIARY LOSS ARISING OUT OF OR RELATED TO THIS AGREEMENT) WHETHER OR NOT SUCH DAMAGES WERE FORESEEN OR UNFORESEEN INCLUDING WITHOUT LIMITATION THE USE OF OR INABILITY TO USE THE APPLICATION OR SERVICES, EVEN IF MEDLY LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
  10. Indemnification
    1. You agree to indemnify, defend and hold harmless Medly Labs, its parents, subsidiaries, affiliates, officers and employees, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of: (a) your access to the Services, the Application, and any Content uploaded or obtained by you through the Services or Application, (b) your use or misuse of the Services and/or Application, (c) any breach of this Agreement by you, (d) the infringement by you, or any third party obtaining access to the Services through your Access Information, of any intellectual property or other right of any person or entity, or (e) your violation of any third-party rights or any applicable laws.
  11. Termination
    1. Medly Labs may terminate this Agreement and/or immediately cease to provide the Services without any liability whatsoever if Medly Labs is prevented from providing any portion or all of any Services due to the acts or omissions of you or any third party, or by any law, regulation, requirement or ruling issued in any form whatsoever by judicial or other governmental body. Nothing herein shall be construed to require Medly Labs to seek a waiver of any law, rule, regulation, or restriction, or seek judicial review or appeal of any court order.
    2. Without limiting other remedies, Medly Labs may limit your activity, issue a warning, temporarily suspend, indefinitely suspend or terminate your account and refuse to provide Services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) Medly Labs is unable to verify or authenticate any information you provide; or (c) Medly Labs believes that your actions may cause financial loss or legal liability for you, other users or Medly Labs.
    3. Medly Labs reserves the right to investigate suspected violations of this Agreement. You hereby authorize Medly Labs to cooperate with (1) law enforcement authorities in the investigation of suspected criminal violations and (2) system administrators at Internet service providers, networks or computing facilities, and other content providers in order to enforce the terms and conditions of this Agreement.
    4. The above-described actions are not Medly Labs’s exclusive remedies and Medly Labs may take any other legal, equitable or technical action it deems appropriate in the circumstances. Medly Labs will not have any liability to you or any third party in relation to the termination of this Agreement for any reason whatsoever.
  12. General Provisions
    1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and cancels and supersedes any prior understandings and agreements between the parties. There are no provisions, representations, undertakings, agreements, or collateral agreements between the parties other than as set out in this Agreement.
    2. This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws provisions, and you agree to submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.
    3. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement shall continue in full force and effect.
    4. Any notices, reports or other communications required or permitted to be given under this Agreement shall be in writing and shall be sufficient if delivered by hand or sent by registered mail, courier or facsimile addressed to each party to the address as advised in writing.
    5. No waiver by either party of a breach or omission by the other party under this Agreement shall be binding on the waiving party unless it is expressly made in writing and signed by the waiving party. Any waiver by a party of a particular breach or omission by the other party shall not affect or impair the rights of the waiving party in respect of any subsequent breach or omission of the same or different kind.
    6. You acknowledge and agree that by clicking on the "I AGREE" button (or similar buttons or links as may be designated by Medly Labs to show your acceptance of this Agreement and/or your agreement to download, install or otherwise access and use the Application), you are entering into a legally binding contract. You hereby agree to the use of electronic communication in order to enter into contracts, place orders and create other records and to the electronic delivery of notices, policies and records of transactions initiated or completed through the Application. Furthermore, you hereby waive any rights or requirements under any laws or regulations in any jurisdiction which require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable mandatory law. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
    7. If you are residing in a jurisdiction which restricts the use of Internet-based applications according to age, or which restricts the ability to enter into agreements such as this Agreement according to age and you are under such a jurisdiction and under such age limit, you may not enter into this Agreement and download, install or use the Application. Furthermore, if you are residing in a jurisdiction where it is forbidden by law to offer or use software for internet communication, you may not enter into this Agreement and may not download, install or use the Application. By entering into this Agreement, you explicitly state that you have verified in your own jurisdiction that your use of the Application is allowed.
    8. It is the express will of the parties that this Agreement and all related documents have been drawn up in English. C'est la volonté expresse des parties que la présente convention ainsi que les documents qui s'y rattachent soient rédigés en anglais.

Privacy Policy

At Medly Labs Inc. (“Medly Labs”), your right to privacy is very important to us. We provide you with the ability compose musical works, upload musical works for viewing by other users of our services, post musical works to supported third party social media applications, provide feedback, and comment on posted material. In order to provide you with this service effectively, we may collect certain specific information from you, and we also automatically collect information and data relating to the usage of our services by all our users, including you. Because we are committed to protecting your privacy rights and the information you provide to us, we have developed this privacy policy. It explains how we will protect your information and describes how we will use and share it.

This policy is concerned with the protection of your personal information only. Personal information includes any data that can be used to identify you as an individual, including your name, income, personal opinion, interests, home contact information, identification numbers, user IDs, passwords, ethnic origin, and age. Under Canadian law, in a business context, personal information does not include the name, job title, business address, or business telephone number of any employee in an organization.

NOTE: Medly Labs software and services are not intended for children under the age of 13. We do not knowingly collect or maintain any personal information or non-personally-identifiable information from anyone under the age of 13 nor is any part of our website, software or service directed to children under the age of 13. We will close any accounts used exclusively by such children and will remove and/or delete any personal information we believe was submitted by any child under the age of 13.

Collecting information

Although Medly Labs does not currently require you to provide specific personal information to use its software and services, there may be occasions when Medly Labs requests specific information from you in order to deal with a specific situation or in order to provide new features or services. We will always inform you when we need information that personally identifies you, and we will keep this information in strict confidence. Additionally, you may, on occasion, voluntarily provide Medly Labs with information that can be classified as personal information – all such personal information will be stored and maintained in accordance with this privacy policy.

As part of your registration and preference choices for Medly Labs’s software and services

Medly Labs offers the ability for you to submit information pertaining to the musical works and other content posted to, or submitted to third party applications and sites, through our services. The amount and level of detail of the information you provide is completely up to you, so that you control the type of content that is sent through Medly Labs’ services. Additionally, you will be provided with a user ID and a password, or the ability to create a user ID and/or password. This user ID and password information is kept confidential and stored securely by Medly Labs; any user ID created by Medly Labs and provided to you will not contain information personal to you, and any information personal to you contained in a user ID created by you is solely your responsibility.

Automatically by Medly Labs’s software and services

Medly Labs’s software and services contain features that automatically collect information from users, such as the number of times a specific musical work is viewed by other users, the number of times a specific musical work is uploaded to a third party application and/or site, the number of musical works that are uploaded by specific user IDs, usage statistics, and other tracking information. Although this information will not identify you personally, it nevertheless provides certain information about you. We use this information to improve our services, but we may also share this information – in aggregate form – with the third party application providers or sites to which our services are linked, so that they are aware of the number of users who have uploaded musical works to their applications or sites, and other aggregate information which may help them to improve their products and services.

As part of your use of Medly Labs’ software and services

You have the ability to post information through Medly Labs’ services, such as comments and opinions. Please be advised that any personal information that you voluntarily post to any public forum or to any area where third parties may legally access it (including third party applications or sites, such as YouTube), will NOT be considered confidential in any way, and Medly Labs will not have any obligation to protect it in a secured system or obtain your consent to its disclosure, as you will have made the decision to publicly post it. However, at your request, Medly Labs will be happy to change it, remove it, or restrict access to it (subject to technical feasibility) in order to protect the integrity of the personal information. You acknowledge that any such change, removal or restriction by Medly Labs may not affect any existing access of the personal information if such personal information was posted to third party applications or sites, and that it is your responsibility to contact such third party applications or sites directly to manage your personal information.

You contact Medly Labs directly

Customers and business partners often contact us directly. When you contact any Medly Labs employee by telephone, e-mail, in person, or through our website, you will be asked to provide consent to the collection of personal information if your personal information will help us deliver the information, products, or services you require.

You respond to communications from Medly Labs

From time to time, Medly Labs may invite you to provide us with information for specific purposes. We may ask for this information through feedback features on our website or software; we may send out e-mail inviting feedback or offering products and services; or we may ask you for information concerning support of our products or services. Your response to these communications may require you to submit personal information and opinions.

Your information is obtained through a third party

Occasionally, Medly Labs will obtain information about you from third parties, such as mailing list providers, third party service providers, ISPs, or third party application or account providers. Third-party providers are responsible for obtaining consent for the release of personal information to us from those individuals identified on mailing lists, surveys, or through other collection methods.

Third party collection of your information

If you link to third party applications or websites through services provided by Medly Labs, third parties may collect information from you through the use of such software applications or websites. Additionally, these applications or websites may ask you to provide additional information directly to third parties. Third party products or services provided through these applications are not owned or controlled by Medly Labs, and are governed by the third party’s terms and conditions and/or privacy policy. You are encouraged to read the terms and other policies published by such third parties on their websites or otherwise.

Sharing your personal information

Subject to any exceptions stated above in the collection of information section, should Medly Labs collect any of your personal information, we will follow these practices regarding the distribution of that information.

Your personal information is always protected

Medly Labs uses reasonable precautions to protect your personal information and store it securely. Access to your personal information is restricted to those personnel who need it, and Medly Labs takes reasonable steps to prevent the unauthorized use or disclosure of your personal information.

Medly Labs only uses and discloses your personal information if it helps us facilitate your needs, improve our products and services, meet legal and regulatory requirements, or — to the limited extent possible — manage our internal business operations. Additionally, if there are any disclosure or use restrictions in your consent to the collection of your personal information, Medly Labs will abide by those restrictions (subject to the consent exceptions listed below).

Medly Labs may combine your information with other information into an aggregate form, so your information no longer personally identifies you. We may then disclose the aggregate information to third parties, so they can obtain an overall picture of Medly Labs’s products, services, and/or usage patterns.

  3. protect against misuse or unauthorized use of any of Medly Labs’ products, software, services, or other proprietary materials

  5. allow for a change of ownership of Medly Labs and associated transfer of all personal information to the new owner of Medly Labs – this does not affect the protection of your information under this Privacy Policy

Medly Labs will always try to provide you with prior notice of such disclosure; however, such notice may not always be possible or reasonable given the circumstances.

You also have the ability to use features of the services which allow you to interact with other users of Medly Labs’ services, such as by “following” other users, “liking” other users’ musical works, and commenting on musical works, and/or to publish your musical works and other personal data created through your use of the services on certain supported third party social networking sites and/or social media applications, such as YouTube. By using these features, you are deemed to have given your consent to Medly Labs’ use, dissemination and publication of the information you have indicated that you want to share through these features, subject to the parameters that you indicate, even if such information constitutes or contains your personal information. Where such information is being shared with third party social networking sites and/or social media applications, you acknowledge that such information, once shared, is subject to such third party’s data collection and privacy policies, over which Medly Labs has no control, and for which Medly Labs shall in no event be liable.

Maintaining your personal information

Medly Labs has established the following practices regarding the maintenance of your personal information.

You can access and change your personal information at any time

Sometimes, it will be necessary for you to update your personal information Medly Labs has on file. For example, if you change your e-mail address, you can do so by logging into your account with Medly Labs and changing the information yourself. Due to the way in which certain information is stored, it is not possible for you to obtain access to or change the statistical information that Medly Labs stores pertaining to you, such as how many times you have used the application. However, you may request that such information be destroyed, as described below.

You can opt out of communications at any time

Additionally, you always have the choice of whether you wish to receive information from Medly Labs. In some cases, you may do so simply by changing the preferences in the software application through which Medly Labs provides the services.

If you do choose to opt out of communications respecting products and services provided by Medly Labs, you may not obtain all the benefits we could otherwise provide, such as updates or warnings. Medly Labe will not have any liability to you for your loss of those benefits or any negative effects respecting your use of Medly Labs products or services.

You can request that your personal information be destroyed at any time

A situation may arise where you desire to have all of your personal information that is contained in Medly Labs’ records deleted or destroyed. If this is what you wish, please contact our Privacy Officer, who will take care of removing your personal information from all of Medly Labs’ records. However, there may be situations where we are obligated to retain one archival copy of your information to allow us to comply with laws or respond to legal processes. We will inform you of all such situations, and will only use your retained personal information to the limited extent necessary to comply with such laws or respond to legal processes.
